Reytek General Terms & Conditions


1. Limited warranty

The warranty described in this document is applicable only to Reytek branded lighting products (Hereinafter referred to as ‘Product’), commercialized in India by Reytek. The warranty is only applicable to the party purchasing the products directly from Reytek (Hereinafter referred to as ‘Purchaser’). When a Reytek authorized distributor sells the products, he can transfer this limited warranty to the following purchasers of the products, provided that such products are resold new and in their original package.

Reytek warrants that each product will be free from defects in material and workmanship that may cause the product to stop working in accordance with the performance specifications set out in the published or provided documentation with the product. Reytek warrants that any standard finishing on a product will be free of cracks, peelings, excessive discoloration and corrosion defects during the applicable warranty period.


2. Terms & Conditions

  • • When any product covered by this warranty is reported by the Purchaser within the warranty period, Reytek will carry out a review to determine whether it is applicable or not. If so, Reytek will, at its option, repair or replace the Product or the defective part thereof, or reimburse the purchaser the purchase price subject to the terms and conditions set forth in this document. For further clarity, ‘repair or replace the Product or the defective part thereof’ does not include removal or reinstallation costs or expenses, including without limitation, any labour costs, shipping expenses to return non-compliant or non-defective that may occur during the return of the product to Reytek.
  • • If it is not possible to replace a product because it has been discontinued or is not available, Reytek may replace the product with a comparable product (that can show small deviations in design and product specification). Reytek reserves the right to use, recondition, restore products or repaired pieces, remanufactured or new in the repair or replacement of any product covered by this limited warranty.
  • • No agent, distributor or dealer is authorized to change, modify or extend the terms of the limited warranty on behalf of Reytek.
  • • This limited warranty only applies when the products have been handled, stored, transported, wired, installed, operated and maintained within the electrical values, operating range and environmental conditions provided in the specifications, application guidelines, standards or applicable regulations in India or any other document accompanying the products. If a product is found to be defective, or not meeting the product specifications, the purchaser must notify Reytek in writing. All the luminaires must be grounded, regardless of whether or not the ballast indicates it.
  • • This warranty does not apply to damage or failure arising as a result of any Acts of God (earthquakes, fires, floods, etc.) acts of vandalism or terrorism, or from any abuse, misuse, abnormal use, corrosive environments or violation of any standard, code or instructions for use, including without limitation, those contained in the applicable safety standards in the industry and/or electrical standards for the relevant region, and/or problems in the power supply such as over-voltages and voltage fluctuations.
  • • This warranty shall be void in the event of failure to use the products for the purposes for which these have been designed or in the event any repairs or alterations, not authorized by Reytek in writing, are made to the product by any person. The manufacturing date of the product has to be clearly readable. Reytek reserves the right to make the final decision on the validity of any warranty claim.
  • • The products being replaced under this warranty policy shall become Reytek’ property as soon as they have been replaced.

3. Warranty claims

All warranty periods are subjected to a Reytek representative having access to the defective product or system and the accessories used to operate them, with which the Reytek’ representative will evaluate the non-compliance. Warranty claims must be notified and sent to Reytek regional office within 30 days after discovery specifying at least the following information (Additional information may be required on request):

  • • Details of defective product, and for systems warranties also details of other components used,
  • • The installation date, the invoice date and the failure date of the product,
  • • Detailed description of the problem,
  • • The number and percentage of failures,
  • • When a warranty claim is justified, Reytek may pay for freight expenses.

To make the claim, the customer must have the product invoice. When the warranty is not justified, Reytek may charge the Customer for costs of freight, tests and any other handling costs associated therewith.


4. No implied or other warranties

This limited warranty is the only warranty given by Reytek with respect to the products and the only remedy for all claims, whether in contract, tort or any other legal theory, originated from the defective product and is given in lieu of any other warranties, whether express or implied, including without limitation warranties of merchantability or fitness for a particular purpose, which warranties are hereby disclaimed.

The buyer shall refuse expressly to make any warranty request when s/he has previously tried to apply any solution, repair or handling to the product.

Under no circumstances shall Reytek’ entire liability raised from or in connection with a defective product, whether in contract, tort or any other legal theory, exceed the purchase price of the product to which such liability relates.

Under no circumstances Reytek can be held special, incidental or indirect liability for compensatory damages including without limitation loss of use, benefits, business or good willing independently that such damage is based on warranties not explicitly mentioned in these terms and conditions, contractual or extra contractual obligations or any other legal theory, even if Reytek has been notified or is aware of such defects.


5. Limitations and conditions

This is a limited warranty and excludes, among other items, installation, de-installation, access to products (scaffolding, lifts, etc.), and special, incidental and consequential is a limited warranty and excludes, among other items, installation, de-installation, access to products (scaffolding, lifts, etc.), and special, incidental and consequential damages (such as loss of revenue/profits, damage to property or other extended costs not previously mentioned) and is further defined by the limitations and conditions set forth in the respective warranty policy and these terms and conditions.

Reytek cannot be held liable for electrical supply conditions, including supply spikes, over-voltage/ under-voltage and ripple current control systems that are beyond the specified limits of the products and those defined by relevant supply standards.

With respect to products sold to the buyer by Reytek, but nor bearing the Reytek name or sub-brands, Reytek makes no warranty of any kind, express or implied, including, without limitation, any warranty of merchantability or fitness for a particular purpose, but will make available to the Buyer upon request, but only to the extent permitted by law and relevant contracts, the warranties of the manufacturer of the relevant product. Such manufacturer will be the only person responsible for costs related to claims connected to such accessories.

This limited warranty is effective for the product purchased on or after the date of entry into force set forth herein, and it is under consideration, expressly subjected and conditioned to the terms set forth herein. Reytek reserves the right to modify this warranty when it is deemed appropriate, so that any modification will be effective for all requests made on or after the date of entry into force of such evaluated warranty.


Warranty Policy

This warranty policy only applies if referred to in a sales agreement between Reytek and the Purchaser and it will replace the standard warranty clause provided in the Reytek general terms and conditions of sale. The warranty period starts on the date of the invoice unless the installation is directly made by Reytek, which in this case the period starts with the date recorded in the delivery notice and will be one year for the specified services of installation in the proposal. In the event of failure of any agreed feature during the warranty, Reytek may be able to fix problems in-situ or refund the assigned cost to the required repair, once identified and accepted by the Reytek’s Customer Satisfaction Department.

The Purchaser receives ‘the standard warranty’ mentioned by default. On request, an ‘extended warranty’ can be agreed after evaluation of the specific application conditions.

Warranties will not be accepted when the product presents any rupture, broken cables or any other damage.

This policy will only apply on purchased products from January 1st 2022.

Outdoor Luminaires

  • • This warranty applies to all outdoor professional luminaires, with the exception of tunnels and underground lighting.
  • • The warranty period is based on an average switch behaviour of max. 4,000 hours/year.
  • • The warranty is only valid for products with a maximum ambient temperature of + 35 °C.
  • • The warranty is only valid for a maximum of a switch per day (According to product specifications).
  • • Dimming and network control systems have no influence on the warranty period.
  • • The warranty period is not valid when the purchaser/ user change the settings of the product’s controller.
  • • A new warranty period will not be reinitiated in case of repair or replacement of the product after the claim is approved.
  • • A claim is only approved valid when the lighting devaluation is below L80F10 (80% of the initial installed luminous flux) during the warranty period of LEDs.

Reytek will have no obligations under this Standard Warranty if the alleged Defect is found to have occurred as a result of any of the following:

  • • Any Force Majeure events. “Force Majeure” means any circumstances or occurrences beyond the reasonable control of Reytek, whether or not foreseeable at the time of concluding the agreement for the sale of the Products, as a result of which Reytek cannot reasonably perform or execute its obligations, including, without limitation, acts of God, natural catastrophes including earthquake, lightning, hurricane, typhoon, flooding or volcanic activities or extreme weather conditions, strikes, lock-outs, war, terrorism, political situation, civil unrest, riots, sabotage, vandalism, industry-wide shortages, breakdown of plant or machinery, fault or loss of electricity supply, cyber-attacks and hacking or non-performance by suppliers of Reytek or by other third parties on which services rely (including connectivity and communication services);
  • • The warranty period is based on an average switch behaviour of max. 4,000 hours/year.
  • • Improper wiring, installation, change of settings or maintenance of Products or any other electrical components such as drivers not performed by (or for) Reytek;
  • • Failure to adhere to installation, operating (such as specific tolerance on flux and system power), application, maintenance, or environmental instructions or guidelines prescribed by Reytek or any other document accompanying the Products, or applicable safety, industry and/or electrical standards or codes;
  • • Failure to use the Products for the purposes for which these have been designed;
  • • Being subject to corrosive environments, excessive wear and tear, neglect, carelessness, accident, abuse, misuse, improper or abnormal use of the Products;
  • • Any attempt at repair, alteration or modification not authorized by Reytek in writing;
  • • Usage of LED products not taking the application instructions concerning potential pollution (e.g. VOC and H2S as specified in the product design-in guide) or cleaning into account.

Industrial products

Limited Five Year Warranty The limited warranty described below is provided by Reytek and its affiliates (collectively identified as “Reytek”) with respect to all Industrial Lighting products identified as such by Reytek.

The Five-Year Limited Warranty (“Warranty”) applies to qualified products purchased after January 1, 2022. Products purchased prior to this date shall have warranty coverage effective as of the time of purchase. This Warranty is provided only to the original end-user purchaser (“Purchaser”) of the qualified product and is not transferrable to any other party. Any claim being made under this Warranty must be accompanied by a dated proof of purchase for the qualified product.


1. LIMITED WARRANTY

Reytek warrants to the purchaser that for a period of five (5) years from the date of shipment (“Warranty Period”) of the qualified products, when delivered in new condition and in its original packaging, they will be free from defects in materials and workmanship and will conform to the published product specifications. Qualified product determined by Reytek to be defective after return to Reytek or to a service agent authorized by Reytek during the Warranty Period will be, at Reytek’s sole discretion and without charge to purchaser: a.) Repaired utilizing new or comparable refurbished parts or; b.) Exchanged for new or refurbished qualified product or; c.) Refunded for the purchase price paid by purchaser for the defective qualified product. Except where prohibited by law, the requirements under this Section shall be Reytek’s sole obligation and liability to purchaser for claims under this Warranty. Qualified product that is repaired or replaced under this Warranty will continue to be covered for the longer of

  • i.) One hundred eighty (180) days from the date of return shipment by Reytek, or
  • ii.) The remaining duration of the applicable Warranty period.

2. WARRANTY EXCLUSIONS AND DISCLAIMERS.

REYTEK MAKES NO OTHER WARRANTY OF ANY KIND WITH RESPECT TO THE QUALIFIED PRODUCT. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF PURCHASER HAS NOTIFIED REYTEK OF ITS INTENDED USE FOR THE PRODUCTS), AND NON-INFRINGEMENT ARE EXPRESSLY EXCLUDED FROM THIS WARRANTY, EXCEPT WHERE PROHIBITED OR RESTRICTED BY LAW. THIS WARRANTY MAY NOT BE ALTERED WITHOUT THE EXPRESS WRITTEN CONSENT OF REYTEK. NO RESELLER, DISTRIBUTOR, OR ANY OTHER AGENT ACTING ON BEHALF OF REYTEK SHALL BE AUTHORIZED TO MODIFY THIS WARRANTY IN ANY WAY OR AT ANY TIME.

Reytek is not responsible for, and the Warranty does not cover any of the following:

  • a.) Loss or damage to the qualified product due to abuse, neglect, mishandling, accident, improper maintenance, improper storage or failure to follow any product instructions;
  • b.) Loss or damage to the qualified product due to connection to an electrical source other than the specific voltage which is specified for the product;
  • c.) Loss or damage to the qualified product due to “dirty power”, voltage spikes or any similar occurrences of electrical surge; REYTEK Industrial Lighting – Limited Five Year Warranty (cont’d)
  • d.) Defects or damage causes by service, modification, repair or attempted repair by any party other than Reytek or its authorized service agents;
  • e.) Routine product maintenance;
  • f.) Any qualified product which has had its serial number or dating altered or removed.

3. WARRANTY RETURN, REPAIR AND REPLACEMENT.

To be eligible for Warranty repair or replacement, purchaser must notify Reytek within thirty (30) days of discovering of any apparent defect in materials or workmanship or failure to conform to the published specifications; and obtain a Returned Materials Authorization (RMA) number from Reytek Customer Service. Notifications and requests for an RMA are to be submitted by e-mail to Reytek@Reyteklighting.com or by calling Reytek Customer Service at X-XXX-XXX-XXXX. To obtain an RMA number the purchaser must provide an original dated proof of purchase. Purchaser is solely responsible for complying with all RMA instructions provided by Reytek including but not limited to adequately packaging the qualified product for shipment to Reytek and for all packaging and shipping costs. Reytek will pay shipping charges associated with the return of any repaired or replaced qualified product to the purchaser. Reytek reserves the right to determine, in its sole discretion, whether a returned qualified product is covered under Warranty. If Reytek determines that any returned qualified product is not covered under Warranty, Reytek may charge purchaser a reasonable handling fee to return the qualified product to purchaser, at purchaser’s expense, or offer purchaser the option of handling the qualified product as a non-warranty return.

4. NON-WARRANTY RETURN.

Purchaser may request that Reytek evaluate and service or repair a qualified product not covered under Warranty, which Reytek may agree to do at its sole discretion. Before purchaser returns a product for non-warranty evaluation and repair, purchaser must contact Reytek Customer Service by e-mail at Reytek@Reyteklighting.com or by calling X-XXX-XXX-XXXX to request an evaluation and obtain an RMA number. Purchaser is solely responsible for complying with all RMA instructions provided by Reytek including but not limited to adequately packaging the qualified product for shipment to Reytek and for all packaging and shipping costs. Upon receipt of an authorized non-warranty return, Reytek will evaluate the qualified product and contact the purchaser regarding the possibility of repair and the costs and fees associated with purchaser’s request. Purchaser shall be responsible for the reasonable cost of Reytek’s evaluation, for the cost of any repairs or services authorized by purchaser, and for the cost of repackaging and returning the qualified product to the purchaser. Any non-warranty repair of a qualified product is warranted for one hundred eighty days (180) days from the date of return shipment by Reytek to be free from defects in materials and workmanship only, subject to all of the limitations, exclusions and disclaimers in this document.


5. DISCLAIMER OF LIABILITY.

REYTEK SHALL NOT BE LIABLE FOR LOSS OF REVENUES OR PROFITS, EXPENSE FOR SUBSTITUTE SERVICE OR PRODUCTS, STORAGE CHARGES, LOSS OR CORRUPTION OF DATA, OR ANY OTHER SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGE CAUSED BY THE USE, MISUSE OR INABILITY TO USE THE QUALIFIED PRODUCT, REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, EVEN IF REYTEK IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. REYTEK’S MAXIMUM LIABILITY FOR ANY CLAIM RESULTING FROM THE USE, MISUSE OR INABILITY OF THE PURCHASER TO USE THE QUALIFIED PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE PAID BY PURCHASER FOR THE QUALIFIED PRODUCT.


Pole Limited Warranty


I. What the Warranty Covers

REYTEK warrants to the end user of the original installation location (“You” or “User”) that new poles purchased from Reytek or an authorized distributor (“Products”) shall, for a period of X year from the date of original shipment (the “Warranty Period”), be free from defects in material and workmanship. During the Warranty Period, Reytek’s sole obligation, and User’s sole remedy, shall be to repair or replace Products found to be defective as defined herein.

Reytek shall not be bound by any terms, conditions, or representations, which are not stated herein including, but not limited to, any statements made by distributors or re-sellers.

II. What Voids or is Not Covered under the Warranty

This Warranty is void, and Reytek shall have no liability hereunder, with respect to a Product that: (a) is installed or used in a manner that is not in accordance with the applicable specifications, codes, standards, and instructions, including installation with attachments other than luminaires except attachments previously authorized by Reytek, or installation in unsuitable locations, such as locations with deleterious vibration, harmonic oscillation, or resonance conditions from air current; (b) has, without the prior written consent of Reytek, been modified, tampered, or disassembled (including, without limitation, alteration or removal of serial numbers or factory supplied stickers or labels); or (c) contains or uses unauthorized components, parts, accessories, or other materials, including, without limitation, pre-existing anchorages, or anchor bolts, bolt adapters, or nuts.

This Warranty does not cover:

a) Cosmetic defects;

b) Damage, defects, or failure caused by:

  • • acts of God;
  • • accident, misuse, misapplication, abuse, negligence, or modification of any part of the Product;
  • • improper storage, installation, repair, operation, inspection or maintenance;
  • • vibration, harmonic oscillation, or resonance from air current;
  • • unsuitable soil conditions at the installation site;
  • • the use of unauthorized components, parts, accessories, or other materials or by equipment or products manufactured by someone other than Reytek;
  • • wrong or inadequate electrical current or connection; or
  • • transit.

c) Other equipment or products manufactured by someone other than Reytek;

d) Labour or contractor costs associated with removing or replacing Products.


III. Warranty Claims

Reytek shall have no liability for any claim made under the Warranty unless User maintains and produces to Reytek upon request sufficient records (as determined by Reytek) of the operating, maintenance, and testing history of the Products.


IV. Replacement of or Repair to Product

Reytek, in its discretion, may use comparable product of equal or greater value to replace a Product that meets the conditions of this Warranty. Furthermore, in performing repairs to a Product that meets the conditions of this Warranty, Reytek reserves the right to utilize new, reconditioned, refurbished, repaired or remanufactured products or parts. Repaired or replaced Products are warranted for the remainder of the original Warranty Period. Reytek reserves the right to examine all returned Products, their specific installation location, and patterns of usage to determine the cause of failure.


V. Limitation of Warranty

THE FOREGOING WARRANTIES ARE EXCLUSIVE EXCEPT FOR WARRANTY OF TITLE. REYTEK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CORRECTION OF NON-CONFORMITIES IN THE MANNER AND FOR THE PERIOD OF TIME PROVIDED ABOVE SHALL CONSTITUTE REYTEK’S SOLE LIABILITY AND USER’S EXCLUSIVE REMEDY FOR FAILURE OF REYTEK TO MEET ITS WARRANTY OBLIGATIONS, WHETHER CLAIMS OF THE USER ARE BASED IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE.


VI. Limitation of Liability

THE REMEDIES OF THE USER SET FORTH IN THIS WARRANTY ARE EXCLUSIVE AND ARE USER’S SOLE REMEDIES FOR ANY FAILURE OF REYTEK TO COMPLY WITH ITS OBLIGATIONS HEREUNDER. NOTWITHSTANDING ANY PROVISION TO THE CONTRARY, IN NO EVENT SHALL REYTEK BE LIABLE IN CONTRACT (INCLUDING WARRANTY), IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE FOR DAMAGE TO PROPERTY OR EQUIPMENT OTHER THAN PRODUCTS TO WHICH THIS WARRANTY RELATES, LOSS OF PROFITS OR REVENUE, LOSS OF USE OF PRODUCTS, COST OF CAPITAL, CLAIMS OF CUSTOMERS OF THE USER OR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES WHATSOEVER, REGARDLESS OF WHETHER SUCH POTENTIAL DAMAGES ARE FORESEEABLE OR IF USER HAS BEEN ADVISED OF SUCH DAMAGES. THE TOTAL CUMULATIVE LIABILITY OF REYTEK ARISING FROM OR RELATED TO THIS CONTRACT WHETHER THE CLAIMS ARE BASED IN CONTRACT, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE, SHALL NOT EXCEED THE PRICE OF THE PRODUCT OR SERVICES ON WHICH SUCH LIABILITY IS BASED.


VII. Severability

If any term or provision of this Warranty, or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceable, the remainder of this Warranty, or the application of such terms or provision, to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be effected, and every other term and provision of this contract shall be deemed valid and enforceable to the extent permitted by law.


VII. Severability

If any term or provision of this Warranty, or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceable, the remainder of this Warranty, or the application of such terms or provision, to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be effected, and every other term and provision of this contract shall be deemed valid and enforceable to the extent permitted by law.


VIII. Choice of Law

The warranty shall be constructed & enforced in accordance with the laws of Maharashtra state and the laws of India applicable in that state.


IX. Other Terms and Conditions

All other terms and conditions in Reytek’s domestic Terms and Conditions shall apply.
